The two companies have entered into a definitive agreement that includes the provision of transition services by Analog Devices such as the supply of inventory for a limited period and an additional cash consideration after 12 months on the achievement of financial targets. The companies are not seeking shareholder approval and the deal is expected to close in October.
InvenSense will acquire all the assets, including patents, related to ADI’s MEMS microphone business line (MBL) and take over the employment of 30 to 40 people located in Wilmington, Mass.; Bratislava, Slovakis and Shanghai, China.
InvenSense the acquisition of the MBL is expected to complement the company’s current position in inertial sensors for motion tracking and location services at existing customers in mobile, gaming and wearable electronics. At the same time the move is intended to expand InvenSense’s patent portfolio and customer base.
"Audio is fast becoming complementary to motion as a means for interacting with contextually aware devices and applications, with an increasing attach rate of 2-3 microphones per high-end phone," said Behrooz Abdi, CEO of InvenSense, in a statement.
